These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute arising from or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Middlesex County, Massachusetts, and you hereby consent to the personal jurisdiction of such courts. You waive any objection based on inconvenient forum or venue.

If you are located in the European Union, the United Kingdom, or any other jurisdiction whose mandatory law restricts the choice of governing law or venue, the mandatory provisions of your local law apply only to the extent they cannot be waived.

12. Miscellaneous

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Montai regarding your use of the Site.
• If any provision is found unenforceable, the remaining provisions remain in full force and effect.
• Montai’s failure to enforce any right or provision will not be deemed a waiver of such right or provision.
• You may not assign your rights under these Terms without Montai’s prior written consent. Montai may assign its rights freely.
